Welcome to ShopaPost (“ShopaPost,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the ShopaPost website, platform, tools, applications, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Age Requirements

You must be at least 18 years old to create an account or use ShopaPost.

By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal authority to enter into these Terms
• You will comply with all applicable laws and regulations

ShopaPost is not intended for children under 18. We do not knowingly collect or allow accounts from individuals under 18 years old.

2. User Content & Responsibility

You are solely responsible for:

• Content you publish
• Links you share
• Products you promote
• Affiliate relationships
• Claims made on your pages
• Compliance with laws applicable to your content

You retain ownership of your content, but you grant ShopaPost a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute your content solely for operating and improving the Service.

If you claim a shop and add your name, credentials, or identity as a curator, you represent that such attribution is accurate and that you have the qualifications or experience you claim. ShopaPost is not liable for curator attribution claims made by users on claimed shop pages. Misrepresentation of professional credentials — including veterinary, medical, legal, or financial qualifications — may result in account suspension and is solely the responsibility of the user.

3. Prohibited Content & Conduct

You may not use ShopaPost to create, upload, distribute, or promote content that:

Illegal or Harmful Content

• Violates any law or regulation
• Promotes illegal activity
• Contains fraud, scams, or deceptive practices
• Promotes violence or threats

Adult & Explicit Content

• Pornographic or sexually explicit material
• Nudity intended for sexual gratification
• Exploitative or fetish content
• Content involving minors in any sexual context

Hate & Harassment

• Hate speech
• Harassment or bullying
• Threatening or abusive conduct
• Discriminatory content

Intellectual Property Violations

• Copyright infringement
• Trademark infringement
• Unauthorized use of another person's likeness or content

Spam & Abuse

• Spam
• Bot-generated abuse
• Malware, phishing, or malicious code
• Artificial traffic manipulation
• Unauthorized scraping of the Service

Restricted Product Categories

ShopaPost does not permit the creation of shops, bundles, or affiliate pages featuring products in the mechanical power transmission industry for sale or promotion within the United States.

Restricted categories include but are not limited to:

• Belts (including drive belts, conveyor belts, and timing belts)
• Bearings (including ball bearings, roller bearings, and thrust bearings)
• Chains (including roller chains, drive chains, and conveyor chains)
• Pulleys (including sheaves, v-belt pulleys, and timing pulleys)
• Sprockets (including roller chain sprockets and conveyor sprockets)
• Related mechanical power transmission components and accessories

This restriction applies to shops targeting or visible to users in the United States. Shops or pages containing restricted products will be removed without notice. Accounts repeatedly submitting restricted content may be suspended or terminated under Section 7 of these Terms.

This restriction is in effect until further notice.

We reserve the right to remove content, suspend accounts, or terminate access at our sole discretion.

4. Affiliate Links & Monetization

ShopaPost may allow users to create monetized pages containing affiliate links, sponsored content, or commerce-related links.

You are solely responsible for:

• Proper affiliate disclosures
• FTC compliance
• Tax obligations
• Compliance with affiliate network policies
• Accuracy of product claims

ShopaPost is not responsible for affiliate earnings, conversions, tracking failures, or third-party platform decisions.

We may disable or restrict affiliate functionality for accounts violating these Terms.

Regulated Product Categories

Some products featured on ShopaPost shop and product pages may fall within regulated categories including veterinary supplies, agricultural health products, diagnostic equipment, nutritional supplements, electrical equipment, structural components, and safety equipment. ShopaPost does not independently verify whether products in these categories comply with applicable federal, state, or local regulations.

Product pages for items in regulated categories display a disclaimer advising users to consult a qualified licensed professional before purchasing or using the product. This disclaimer does not constitute legal, medical, or professional advice. Users are solely responsible for ensuring that products they purchase comply with all applicable regulations and are appropriate for their intended use.

Creators who publish shops or product pages in regulated categories are responsible for ensuring their content complies with applicable laws, affiliate program policies, and professional licensing requirements in their jurisdiction.

5. Unclaimed & Claimed Shop Pages

Unclaimed shop pages earn affiliate commissions for ShopaPost. Creators may claim their page at any time, at which point all commissions route to the creator's affiliate IDs and ShopaPost earns nothing from that page.

6. No Guarantee of Earnings or Results

ShopaPost makes no guarantees regarding:

• Revenue
• Affiliate commissions
• Search visibility
• Traffic
• Conversions
• Business outcomes

Any examples of earnings or growth are illustrative only.

7. Intellectual Property

The Service, including software, branding, logos, design elements, and platform functionality, is owned by ShopaPost and protected by intellectual property laws.

You may not:

• Copy or reverse engineer the Service
• Resell access to the platform
• Use ShopaPost branding without permission
• Create derivative competing services using our proprietary systems

8. Platform Moderation & Enforcement

We reserve the right to:

• Remove any content
• Restrict visibility
• Suspend or terminate accounts
• Refuse service
• Investigate violations
• Cooperate with law enforcement

We may take these actions with or without notice.

Product recommendations, curator notes, and buyer context descriptions appearing on ShopaPost shop and product pages are editorial in nature and do not constitute professional advice of any kind including veterinary, medical, legal, financial, or engineering advice. The presence of a product on a ShopaPost page does not constitute an endorsement of its safety, efficacy, regulatory compliance, or fitness for any particular purpose. Visitors should consult qualified licensed professionals before using products in regulated applications.

9. Third-Party Services

The Service may link to third-party websites, marketplaces, or services including affiliate networks, ecommerce platforms, and social platforms.

We are not responsible for:

• Third-party content
• Product quality
• Transactions
• Policies
• Availability
• Security practices

Your interactions with third parties are solely between you and the third party.

10. Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

We disclaim all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Availability or uptime
• Accuracy of results

11. Limitation of Liability

To the maximum extent permitted by law, ShopaPost shall not be liable for:

• Lost profits
• Lost data
• Business interruption
• Indirect or consequential damages
• Third-party claims
• Affiliate tracking failures
• Content posted by users

Your use of the Service is at your own risk.

12. Indemnification

You agree to indemnify and hold harmless ShopaPost and its owners, operators, affiliates, employees, and partners from claims, damages, liabilities, and expenses arising from:

• Your content
• Your use of the Service
• Your violation of these Terms
• Your violation of laws or third-party rights

13. Termination

We may suspend or terminate your access at any time for any reason, including violation of these Terms.

You may stop using the Service at any time.

14. Changes to These Terms

We may update these Terms periodically. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. AI-Generated Content & Automated Shop Creation

15.1 AI-Generated Content

ShopaPost uses artificial intelligence to generate shop titles, product descriptions, curator notes, SEO metadata, buyer context summaries, product caveats, and related shop suggestions. This content is generated programmatically and may not reflect the views, expertise, or opinions of any specific individual.

AI-generated content is provided for informational and editorial purposes only. ShopaPost makes no warranty that AI-generated content is accurate, complete, current, or suitable for any particular purpose. Users and visitors should independently verify product information before making purchasing decisions.

Creators who claim a shop may edit, supplement, or replace AI-generated content with their own. Once a shop is claimed and edited by its creator, ShopaPost is not responsible for the accuracy of creator-modified content.

15.2 Automated Shop Creation from Third-Party Content

ShopaPost may automatically generate shop pages by processing publicly available content including YouTube videos, TikTok posts, blog articles, and product pages. This automated process extracts product references from public content and creates structured shop pages on the ShopaPost platform.

Automated shops generated from third-party content:

• Are built from publicly accessible URLs and transcripts
• Link back to the original source content
• May be claimed by the original content creator at any time
• Display ShopaPost house affiliate IDs until claimed
• May be turned off or removed by ShopaPost at any time

ShopaPost does not reproduce or host third-party video, audio, or written content. Shop pages contain only product references extracted from publicly available content, links back to the original source, and platform-generated descriptive text.

Content creators who wish to have an automatically generated shop removed from the ShopaPost directory may contact support@shopapost.com. ShopaPost will remove or disable the shop within a reasonable timeframe upon verified request.

15.3 Curator Attribution on Automated Shops

Automated shops that have not been claimed by a creator may display a platform-assigned curator name or label. These labels are system-generated identifiers and do not represent a specific individual, professional, or organization unless a verified creator has claimed the shop and updated the attribution.

ShopaPost does not represent that curator attributions on unclaimed automated shops reflect the views or endorsements of any real person. Once a creator claims a shop they may update the curator attribution to reflect their identity and credentials.

15.4 Affiliate Revenue on Automated Shops

Prior to a creator claiming a shop, affiliate links on automated shops use ShopaPost platform affiliate IDs. Any commissions generated from unclaimed shops accrue to ShopaPost. Upon claiming, the creator replaces platform affiliate IDs with their own, and all subsequent commissions route to the creator.

ShopaPost makes no guarantee regarding the affiliate revenue generated by automated shops before or after claiming. Commission rates, program eligibility, and tracking accuracy are controlled by third-party affiliate networks and are subject to their terms and conditions.

16. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the State of South Dakota, United States, without regard to its conflict of law principles.

You agree that the exclusive venue and jurisdiction for any action, suit, or proceeding arising out of or relating to these Terms or the Service shall be the state courts of the Third Judicial Circuit of South Dakota sitting in Hamlin County, South Dakota, or, for matters within exclusive federal jurisdiction, the United States District Court for the District of South Dakota, Northern Division. You consent to the personal jurisdiction of those courts and waive any objection to venue in those forums.
